Spice Lounge Food Works Limited, formerly known as Shalimar Agencies Limited, has announced the acquisition of M/s PRISHA INFOTECH PTE. LTD, a Singapore-based company engaged in the development of software and programming solutions.
Prisha Infotech was incorporated on 6th May 2021 and operates in the IT and IT-enabled services sector, which aligns with the line of business of Spice Lounge Food Works Limited. The company has recorded significant growth in its turnover over the last three years, with revenues of USD 1,00,23,174 in 2023, USD 1,08,19,651 in 2024, and USD 78,56,539 in September 2025.
The acquisition has been approved by the Board of Directors in a meeting held on 17th December 2025, with a total consideration of USD 1,50,000 (USD One Lakh Fifty Thousand Only). The transaction involves a 100% acquisition of shares, resulting in Prisha Infotech becoming a wholly-owned subsidiary of Spice Lounge Food Works Limited, effective from 1st January 2026.
The Board anticipates that the acquisition process will be finalised within 12 months from the execution of the agreements. This step represents a strategic move for Spice Lounge Food Works Limited to consolidate its position in the IT sector and strengthen its global operations.
